Plans Terms & Policies

By purchasing an annual advisory plan from FACT Advisors LLC (“FACT Advisors”), you acknowledge and agree to the following terms and conditions.
 

1. Annual Plan Term

All advisory plans are valid for twelve (12) months from the date the plan becomes active, unless otherwise stated in a signed engagement agreement. Services and benefits must be used during the applicable plan term and do not roll over beyond the expiration date.
 

2. Activation & Onboarding

Following purchase and payment, FACT Advisors will begin the onboarding process and may request financial records, tax documents, identification, prior-year returns, business records, or other information necessary to provide the selected services.
 

Timely completion of onboarding requirements is the client's responsibility. Delays in providing requested information may delay the delivery of services and do not extend the plan term unless otherwise agreed to in writing.
 

3. Scope of Services

Each plan includes only the services specifically identified under the selected plan and/or the client's engagement agreement. Certain services may require a separate engagement and additional fees, including but not limited to:
 

• Bookkeeping and accounting cleanup

• Payroll processing

• Sales and use tax filings

• Amended or delinquent tax returns

• Complex IRS or state examinations

• Tax resolution and Offers in Compromise

• Forensic accounting

• Business valuations

• Audit, review, or attestation services

• Extensive financial modeling

• M&A transaction services

• Complex financing or capital-raising projects

• Legal or investment advisory services
   

If a requested service falls outside the selected plan, FACT Advisors will discuss the additional scope and applicable fees with the client before proceeding.
 

4. Tax Return Preparation

Where tax return preparation is included, the specific return(s), schedules, entities, states, and filing requirements covered will be determined by the selected plan and the client's engagement agreement.
 

Additional, unusually complex, amended, delinquent, multi-entity, or other filings outside the agreed scope may be subject to additional fees.
 

5. Meetings & Advisory Access

Meeting frequency and advisory access vary by plan. Meetings must generally be scheduled in advance and are subject to availability.
 

Email, telephone, and other advisory communications are intended for reasonable questions related to the services included in the client's plan. Projects requiring substantial research, analysis, preparation, or work outside the selected plan may require a separate engagement.
 

6. Client Responsibilities

Clients are responsible for providing complete, accurate, and timely information. FACT Advisors may rely on information supplied by the client or the client's authorized representatives without independently verifying every item.

The client remains responsible for reviewing documents, tax returns, projections, recommendations, and other deliverables and promptly notifying FACT Advisors of any errors, omissions, or material changes in circumstances.
 

7. Tax Projections & Financial Analysis

Tax projections, financial models, scenarios, and planning recommendations are based on information available at the time they are prepared and on applicable assumptions.

Actual results may differ due to changes in income, expenses, investments, tax laws, regulations, market conditions, business performance, or other circumstances. No particular tax savings, financial outcome, investment result, financing approval, or business result is guaranteed.
 

8. IRS & State Matters

Notice review, assistance, and representation are limited to the level of service included in the selected plan and applicable engagement agreement.

Audits, examinations, appeals, collections matters, tax resolution, Offers in Compromise, extensive correspondence, or other complex federal or state matters may require a separate engagement and additional fees.

9. Professional Services Disclaimer

FACT Advisors provides tax, accounting, financial analysis, CFO advisory, and business advisory services within the scope of the applicable engagement.
 

FACT Advisors does not provide legal advice or investment advisory services. Clients should consult appropriately licensed legal, investment, insurance, or other professionals when those services are required.
 

10. Payment

Annual plans are billed annually. Payment is due according to the terms presented at checkout, on the invoice, or in the applicable engagement agreement. Additional services outside the annual plan will be separately quoted or billed.
 

11. Cancellation & Refund Policy

Because annual plans provide access to professional advisory resources, onboarding, planning, and reserved service capacity, fees are generally non-refundable once services have commenced.
 

If cancellation is requested before services begin, FACT Advisors may review the request on a case-by-case basis. Any approved refund may be reduced by payment-processing fees, administrative costs, or work already performed.

Nothing in this policy limits any refund or cancellation rights required by applicable law.
 

12. Expiration & Renewal

Plans expire twelve (12) months after activation unless otherwise stated in writing. Renewal is not guaranteed at the same price, scope, or terms. FACT Advisors may modify its plans, pricing, included services, and policies for future renewal periods.

Clients will not be charged for a renewal unless automatic renewal has been separately disclosed and authorized.
 

13. Engagement Agreement Controls

These website policies provide general terms applicable to FACT Advisors' annual plans. Specific services, deliverables, deadlines, fees, responsibilities, limitations, and other engagement terms may be further defined in a separate engagement agreement.

If there is a conflict between these website policies and a signed engagement agreement, the signed engagement agreement will control to the extent of the conflict.
 

14. Acceptance

By purchasing a plan, submitting payment, or entering into an engagement with FACT Advisors, the client acknowledges that they have reviewed the applicable plan description and agree to the applicable engagement terms and policies.
